Introduction

These Terms and Conditions ("Terms") govern the use of the ScrapChain ("Platform", "App", "we", "our", "us"), which provides an online marketplace connecting buyers and sellers of scrap materials and recyclable goods. By registering, accessing, or using the Platform, you agree to be bound by all these terms listed below.

1.1 Intermediary Platform

The Platform is a technology-based intermediary marketplace that enables registered users to connect with one another for the purpose of buying, selling, exchanging, or otherwise dealing in scrap materials, recyclable materials, industrial surplus, used goods, and related products. The Platform merely facilitates communication and interaction between users and does not itself participate in, control, supervise, or influence any transaction conducted between users.

1.2

No Sale or Purchase by the Platform The Platform is not engaged in the business of purchasing, selling, storing, transporting, collecting, processing, recycling, inspecting, certifying, brokering, dealing in, or taking ownership, title, possession, custody, or control of any scrap material, recyclable material, product, or item listed, advertised, offered, purchased, or sold through the Platform. At no point shall the Platform be deemed to be a buyer, seller, agent, broker, consignee, bailee, warehouse operator, transporter, auctioneer, or principal in relation to any transaction conducted between users.

1.3 Independent Transactions Between Users

All negotiations, communications, quotations, inspections, site visits, price discussions, contracts, invoices, purchase orders, transportation arrangements, loading and unloading operations, delivery obligations, payments, collections, tax compliances, statutory compliances, and all other commercial or contractual dealings are undertaken solely and directly between the respective buyer and seller. The Platform neither supervises nor controls the manner in which such transactions are conducted and shall not be responsible for the performance, completion, cancellation, delay, breach, or failure of any transaction between users.

1.4

No Agency, Partnership, or Representation Nothing contained in these Terms shall be construed as creating any partnership, joint venture, agency, employment, franchise, fiduciary relationship, representative relationship, or other legal association between the Platform and any user. No user shall represent, imply, or hold out that the Platform endorses, guarantees, certifies, verifies, authorizes, or assumes responsibility for any listing, transaction, product, service, or user.

1.5 Platform Not a Party to Transactions

The Platform is not and shall not be deemed to be a party to any contract, agreement, arrangement, understanding, purchase order, invoice, sale transaction, or other legal relationship entered into between buyers and sellers. All rights, obligations, liabilities, warranties, representations, and risks arising from or relating to any transaction shall exclusively vest in and remain the responsibility of the respective buyer and seller.

1.6

No Verification or Due Diligence by the Platform The Platform does not undertake and shall not be under any obligation to verify, authenticate, investigate, inspect, audit, certify, or conduct due diligence with respect to: (a) the identity, background, reputation, credibility, solvency, or legal status of any user; (b) the ownership, possession, source, provenance, legality, title, or authenticity of any material listed on the Platform; (c) the quality, quantity, weight, grade, specifications, condition, fitness, merchantability, or suitability of any material for any purpose; (d) the accuracy, completeness, truthfulness, or reliability of any listing, advertisement, representation, statement, image, document, or information provided by any user. Users are solely responsible for independently verifying all information and conducting their own due diligence prior to entering into any transaction.

1.7

No Warranty or Guarantee The Platform makes no representation, warranty, undertaking, or guarantee, whether express or implied, regarding: (a) the legality of any transaction; (b) the ownership or lawful possession of any listed material; (c) the quality, quantity, value, weight, description, specifications, or condition of any material; (d) the ability of a buyer to make payment; (e) the ability of a seller to deliver the material; (f) the completion, performance, or successful execution of any transaction; or (g) the conduct, honesty, integrity, reliability, or compliance of any user. All transactions and interactions between users are undertaken entirely at their own risk, discretion, and judgment.

1.8 User\

Each buyer and seller acknowledges and agrees that it is their sole responsibility to verify the legality, ownership, source, title, possession, and regulatory compliance of any material before entering into any transaction. The Platform expressly disclaims any responsibility or liability arising from stolen goods, misappropriated property, counterfeit materials, disputed ownership, unauthorized sales, fraudulent listings, regulatory violations, or any other unlawful activity conducted by users through or in connection with the Platform.

1.9 Limited Role of the Platform

The sole function of the Platform is to provide an online technological infrastructure through which buyers and sellers may locate and communicate with one another. Except for providing such technological infrastructure and related support services, the Platform assumes no responsibility whatsoever in relation to any transaction, dispute, claim, loss, damage, injury, liability, cost, or expense arising directly or indirectly from dealings between users.

2.1 Eligibility to Use the Platform

Access to and use of the Platform is available only to persons who are competent to enter into legally binding contracts under applicable law. By registering on, accessing, or using the Platform, each user represents, warrants, and undertakes that: (a) they are at least eighteen (18) years of age; (b) they possess the legal capacity, authority, and competence to enter into binding agreements; (c) they are not prohibited or restricted by any applicable law, regulation, order, judgment, or governmental authority from using the Platform or engaging in transactions relating to scrap materials; (d) all information provided by them to the Platform is true, accurate, complete, and up-to-date. Persons who do not satisfy the foregoing requirements shall not access or use the Platform.

2.2

Registration on Behalf of a Business Entity Where a user accesses or uses the Platform on behalf of a company, partnership firm, proprietorship concern, limited liability partnership, association, trust, society, governmental body, or any other legal entity ("Business Entity"), such user represents and warrants that: (a) the Business Entity is validly existing and duly organized under applicable laws; (b) the user possesses all necessary authority, approvals, permissions, and authorizations to act on behalf of and bind the Business Entity; (c) the Business Entity agrees to be bound by these Terms and Conditions; (d) all acts, omissions, transactions, representations, warranties, and obligations undertaken through the user account shall be deemed to have been undertaken by the Business Entity itself. The Platform shall be entitled to rely upon such representations without any obligation to independently verify the authority of the user.

2.3 Verification Requirements

The Platform reserves the right, at its sole and absolute discretion, to require any user, whether before or after registration, to furnish information, documents, declarations, or evidence for the purpose of identity verification, business verification, regulatory compliance, fraud prevention, risk assessment, or any other legitimate purpose. Such information or documents may include, without limitation: (a) government-issued identity documents; (b) proof of address & Identity; (c) GST registration details; (d) business registration certificates; (e) trade licenses; (f) scrap dealer licenses; (g) environmental or regulatory permits; (h) PAN details; (i) bank account verification documents; and (j) any other information or document deemed necessary by the Platform. Failure to provide such information or documents within the prescribed time may result in rejection of registration, suspension of account access, removal of listings, or termination of the user\

2.4

No Obligation to Verify Notwithstanding any verification process undertaken by the Platform, users acknowledge and agree that the Platform is under no obligation to verify the identity, ownership, authority, legitimacy, credentials, financial standing, regulatory compliance, or legal status of any user. Any verification, if any conducted by the Platform shall be limited in nature and shall not constitute an endorsement, certification, guarantee, warranty, or representation regarding the authenticity, reliability, trustworthiness, legality, or suitability of any user. All users remain solely responsible for conducting their own independent due diligence and verification before entering into any deal or transaction.

2.5 Right to Refuse Registration & Account Access

The Platform reserves the unrestricted right, at its sole discretion and without assigning any reason, to: (a) refuse any application for registration; (b) reject any verification request; (c) suspend or restrict access to the Platform; (d) remove any listing or content; or (e) terminate any user account. The Platform shall not be liable for any loss, damage, cost, or consequence arising from the exercise of such rights.

2.6 Compliance with Applicable Laws

Each user represents, warrants, and undertakes that they shall comply with all applicable laws, rules, regulations, notifications, licensing requirements, environmental regulations, taxation laws, municipal requirements, and governmental directives relating to the purchase, sale, storage, transportation, handling, recycling, disposal, or processing of scrap materials. The Platform shall not be responsible for monitoring or ensuring such compliance, and the responsibility for compliance shall rest solely with the user.

2.7 Consequences of False Information

If any information, declaration, representation, warranty, or document provided by a user is found to be false, misleading, inaccurate, forged, incomplete, fraudulent, or deceptive, the Platform shall have the right to immediately suspend or terminate the user\

3.1

Registration Requirements In order to access certain features of the Platform, users are to be required to create and maintain a registered account. By creating an account on the Platform, the user represents, warrants, and undertakes that: (a) all information submitted during registration is true, accurate, current, complete, and not misleading; (b) such information shall be promptly updated whenever necessary to ensure its continued accuracy and completeness; (c) the user shall not provide false identities, fictitious names, forged documents, impersonated credentials, or misleading business information; (d) the user shall not create an account on behalf of another person or entity without proper authorization. The Platform reserves the right to verify any information provided by the user and to request supporting documents at any time.

3.2 One Account Policy and Account Ownership

Unless otherwise expressly permitted by the Platform in writing, a user shall not create or maintain multiple accounts for the purpose of circumventing restrictions, subscription requirements, verification procedures, account suspensions, or any other policies of the Platform. Each account shall belong solely to the registered user and may not be assigned, transferred, sold, leased, shared, sublicensed, or otherwise made available to any third party. Account sharing with other people is strictly forbidden. The Platform reserves the right to merge, restrict, suspend, or terminate accounts that are shared, duplicated or unauthorized accounts at its sole discretion.

3.3 Account Credentials and Security

Users shall be solely responsible for maintaining the confidentiality, security, and integrity of their login credentials, including usernames, passwords, one-time passwords (OTPs), verification codes, authentication devices, and any other security credentials associated with their account. Users agree to: (a) take all reasonable precautions to prevent unauthorized access to their account; (b) not disclose or share login credentials with any third party; (c) immediately notify the Platform of any actual or suspected unauthorized use of their account or security breach; (d) ensure that they log out of their account after each session where appropriate. The Platform shall not be liable for any loss, damage, unauthorized transaction, misuse, or consequence arising from the user\

3.4 Responsibility for Account Activities

The user acknowledges and agrees that all activities conducted through their account shall be deemed to have been undertaken by the user, whether such activities were authorized by the user or not. The user shall remain fully responsible and liable for: (a) listings posted through the account; (b) communications made through the account; (c) purchases, sales, negotiations, and transactions conducted through the account; (d) payments, representations, warranties, declarations, and commitments made through the account; (e) any violation of applicable laws, regulations, or these Terms and Conditions committed through the account. The Platform shall be entitled to rely upon the use of valid account credentials as sufficient evidence of authorization.

3.5 Prohibited Account Activities

Users shall not: (a) create accounts using false, misleading, or fraudulent information; (b) impersonate any individual, business, governmental authority, or legal entity; (c) use another person\

3.6 Suspension, Restriction, and Termination of Accounts

The Platform reserves the right, at its sole and absolute discretion, to suspend, restrict, deactivate, terminate, or permanently ban any account, with or without prior notice, if: (a) any information provided by the user is false, inaccurate, incomplete, misleading, forged, or outdated; (b) the user fails to comply with these Terms and Conditions; (c) the user engages in fraudulent, deceptive, suspicious, unlawful, or unethical conduct; (d) the Platform reasonably suspects involvement in the sale, purchase, transportation, possession, or advertisement of stolen, illegal, prohibited, counterfeit, or unauthorized goods; (e) the user poses a legal, regulatory, operational, financial, or reputational risk to the Platform or other users; (f) such action is required pursuant to applicable law, regulatory direction, court order, or law enforcement request. The Platform shall have no liability whatsoever for any loss, damage, business interruption, loss of profits, loss of data, or other consequences arising from the suspension, restriction, or termination of any account.

3.7 Preservation and Disclosure of Information

The Platform reserves the right to retain, preserve, review, monitor, and disclose account information, user data, transaction records, communications, and related information to governmental authorities, law enforcement agencies, courts, regulatory bodies, or other competent authorities where required by law, legal process, regulatory obligation, or where reasonably necessary to investigate suspected fraud, criminal activity, security breaches, or violations of these Terms.

3.8

No Right to Continued Access Registration of an account does not create any ownership interest, vested right, or entitlement in favour of the user to continue using the Platform. The Platform may modify, restrict, suspend, discontinue, or terminate access to any account or service at any time in accordance with these Terms and applicable law.

4.1 Independent Verification by Buyers

The buyer acknowledges and agrees that the Platform acts solely as an intermediary technology platform and does not verify, inspect, certify, guarantee, or authenticate any seller, listing, material, information, or transaction available through the Platform. Prior to entering into any transaction, making any payment, issuing any purchase order, or taking delivery or possession of any material, the buyer shall independently verify and satisfy itself regarding, inter alia: (a) the identity, credentials, reputation, authority, and legitimacy of the seller; (b) the seller\

4.2 Buyer\

The buyer shall exercise reasonable care, caution, and independent judgment before entering into any transaction through the Platform. Without limiting the generality of the foregoing, the buyer shall conduct its own due diligence, inspection, assessment, investigation, and verification regarding the seller and the material prior to: (a) making any advance payment or security deposit; (b) entering into any contractual arrangement; (c) arranging transportation or logistics; (d) accepting delivery or possession of any material; or (e) relying upon any information made available through the Platform. The buyer acknowledges that the Platform does not undertake any due diligence on behalf of the buyer and shall not be responsible for any deficiency in the buyer\

4.3 Verification of Ownership and Legality

The buyer shall be solely responsible for verifying that the material being purchased: (a) is lawfully owned or possessed by the seller; (b) is not stolen, misappropriated, illegally obtained, counterfeit, or subject to any ownership dispute; (c) is not encumbered by any lien, charge, security interest, court order, governmental restriction, confiscation proceeding, or third-party claim; and (d) may lawfully be bought, sold, transported, possessed, processed, or recycled under applicable law. The Platform shall not be liable for any loss, damage, seizure, confiscation, criminal proceedings, civil claims, penalties, or legal consequences arising from the purchase of any stolen, disputed, unauthorized, restricted, or illegal material.

4.4 Payments and Financial Responsibility

The buyer shall be solely responsible for all payments made in connection with any transaction conducted through the Platform. The Platform neither receives, holds, processes, secures, guarantees, nor supervises payments between buyers and sellers unless expressly stated otherwise. Accordingly, the Platform shall not be liable for: (a) fraudulent payment demands; (b) advance payment frauds; (c) non-delivery of material; (d) delayed delivery; (e) short delivery; (f) quality disputes; (g) refund disputes; (h) overpayments, underpayments, or unauthorized payments; or (i) any financial loss arising from transactions between users.

4.5 Compliance with Applicable Laws

The buyer shall comply with all applicable laws, regulations, notifications, governmental directives, licensing requirements, environmental regulations, taxation laws, municipal regulations, and industry-specific requirements relating to the purchase, transportation, storage, handling, processing, recycling, resale, or disposal of scrap materials. The buyer shall be solely responsible for obtaining all approvals, registrations, licenses, permits, and authorizations required under applicable law.

4.6 Assumption of Risk

The buyer expressly acknowledges and agrees that all transactions entered into through contacts, information, listings, advertisements, communications, or introductions facilitated by the Platform are undertaken entirely at the buyer\

4.7

No Reliance on the Platform The buyer agrees that it shall not rely upon any listing, advertisement, communication, rating, review, verification status, profile information, photograph, document, or other information appearing on the Platform as a substitute for its own independent verification and due diligence. Any information made available through the Platform is provided solely for convenience and informational purposes and shall not constitute a representation, warranty, certification, endorsement, or guarantee by the Platform.

4.8 Indemnity by Buyer

The buyer agrees to indemnify, defend, and hold harmless the Platform, its owners, directors, officers, employees, affiliates, agents, and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, penalties, costs, expenses, or legal fees arising out of or relating to: (a) the buyer\

5.1 Seller Representations and Warranties

By creating a listing, advertising any material, responding to inquiries, or entering into a transaction through the Platform, the seller represents, warrants, covenants, and undertakes that: (a) the seller is the lawful owner of the material being offered for sale or possesses all necessary rights, permissions, licenses, approvals, and authority to advertise, sell, transfer, and dispose of such material; (b) the seller has good, valid, marketable, and transferable title to the material and is legally entitled to transfer ownership and possession thereof to a buyer; (c) the material is not stolen, misappropriated, unlawfully obtained, fraudulently acquired, counterfeit, prohibited, restricted, or otherwise connected with any criminal, unlawful, or unauthorized activity; (d) the material is not the subject matter of any pending litigation, ownership dispute, governmental investigation, confiscation proceeding, attachment order, seizure, lien, charge, encumbrance, security interest, or third-party claim; (e) the material may lawfully be sold, transferred, transported, possessed, processed, recycled, or otherwise dealt with under applicable law; (f) all information, descriptions, specifications, photographs, weights, quantities, grades, certifications, statements, declarations, and representations provided by the seller are true, accurate, complete, current, and not misleading; (g) the seller shall promptly update any information that becomes inaccurate, misleading, incomplete, or outdated; (h) the seller shall comply with all applicable laws, regulations, governmental notifications, environmental requirements, waste management rules, taxation laws, transportation requirements, and licensing obligations relating to the material being offered for sale; and (i) the seller shall not engage in any fraudulent, deceptive, unfair, unlawful, or unethical business practice through the Platform.

5.2 Verification and Supporting Documentation

The seller shall, upon request by the Platform, provide such documents, records, declarations, certificates, invoices, licenses, registrations, permits, ownership records, tax documents, transport records, or other supporting information as may reasonably be required to establish: (a) ownership or lawful possession of the material; (b) authority to sell or dispose of the material; (c) compliance with applicable laws and regulations; (d) the accuracy of information contained in the listing; and (e) the identity and legitimacy of the seller. Failure to provide such information or documentation within the prescribed time may result in suspension or removal of listings, account restrictions, or termination of the seller\

5.3 Regulatory Compliance and Licenses

The seller shall be solely responsible for obtaining, maintaining, renewing, and complying with all licenses, registrations, permits, approvals, authorizations, consents, certificates, and statutory requirements applicable to its business activities and the materials being offered for sale. The Platform shall have no obligation to determine whether any such authorization is required and shall not be liable for any consequences arising from the seller\

5.4 Prohibited Materials

Without limiting any other provision of these Terms, the seller shall not advertise, offer for sale, sell, transfer, or facilitate the sale of: (a) stolen property or suspected stolen property; (b) government-owned property without lawful authorization; (c) railway property, railway scrap, signaling equipment, railway infrastructure materials, or related assets without lawful authority; (d) property belonging to municipal bodies, public authorities, public sector undertakings, utility providers, telecom operators, electricity boards, water authorities, gas distribution companies, or other governmental or quasi-governmental entities without lawful authorization; (e) counterfeit, forged, fraudulent, or illegally acquired materials; (f) hazardous, restricted, prohibited, or regulated materials in violation of applicable law; (g) any material whose sale, possession, transportation, processing, or disposal is prohibited under applicable law. The Platform reserves the right to remove any listing and report any suspected unlawful activity to the appropriate authorities without prior notice.

5.5 Accuracy of Listings

The seller shall ensure that every listing posted on the Platform accurately reflects the material being offered for sale. The seller shall not: (a) make false, misleading, deceptive, exaggerated, or fraudulent claims; (b) misrepresent the ownership, source, quality, quantity, weight, condition, specifications, grade, value, or legality of any material; (c) upload misleading photographs or inaccurate descriptions; (d) conceal material defects, restrictions, legal issues, or ownership concerns; or (e) engage in any conduct intended to deceive prospective buyers. The seller shall remain solely responsible for all information published through its account.

5.6 Taxes and Statutory Obligations

The seller shall be solely responsible for determining, collecting, reporting, remitting, and complying with all applicable taxes, duties, levies, cess, charges, fees, and statutory obligations arising out of any transaction conducted through the Platform. The Platform shall not be responsible for any tax liability, penalty, interest, assessment, or regulatory action relating to transactions between users.

5.7 Assumption of Liability by Seller

The seller acknowledges and agrees that it shall bear sole responsibility and liability for: (a) ownership disputes; (b) title defects; (c) inaccurate or misleading listings; (d) unlawful sales; (e) sale of stolen, prohibited, restricted, or counterfeit materials; (f) environmental violations; (g) transportation violations; (h) tax violations; and (i) any loss, damage, claim, penalty, prosecution, or legal proceeding arising from the seller\

5.8 Duty to Cooperate

The seller shall fully cooperate with the Platform, law enforcement agencies, courts, regulatory authorities, governmental bodies, and investigating agencies in connection with any investigation relating to listings, transactions, ownership disputes, suspected fraud, stolen property, criminal activity, regulatory violations, or breaches of these Terms.

5.9 Indemnity by Seller

The seller agrees to defend, indemnify, and hold harmless the Platform, its owners, directors, officers, employees, affiliates, agents, service providers, successors, and assigns from and against any and all claims, actions, proceedings, demands, liabilities, losses, damages, penalties, fines, costs, expenses, settlements, and legal fees arising out of or relating to: (a) any unlawful, fraudulent, unauthorized, misleading, or prohibited sale; (b) any breach of the seller\

5.10 Seller Declaration

By posting any listing on the Platform, the seller expressly declares and confirms that: "I am the lawful owner of the material listed or am otherwise legally authorized to sell the same. The material is not stolen, illegally obtained, counterfeit, prohibited, or subject to any ownership dispute. I understand that providing false information may result in suspension of my account, reporting to law enforcement authorities, and legal action under applicable law."

6.1 Prohibited Materials

Users shall not list, advertise, upload, offer for sale, purchase, solicit, distribute, transfer, transport, facilitate, or otherwise deal in any material, product, item, substance, or property that is unlawful, unauthorized, restricted, regulated, suspicious, or prohibited under applicable law. Without limiting the generality of the foregoing, the following items and materials are strictly prohibited on the Platform: (a) stolen property or property suspected to be stolen; (b) property obtained through theft, fraud, cheating, criminal breach of trust, misappropriation, extortion, corruption, unlawful possession, or any other illegal activity; (c) government-owned property, public property, municipal property, defense property, or property belonging to any governmental, semi-governmental, statutory, or public authority without lawful authorization; (d) railway property, railway scrap, railway equipment, signaling equipment, cables, tracks, machinery, infrastructure components, or any property governed by applicable railway laws without lawful authorization; (e) property belonging to electricity boards, power distribution companies, water authorities, gas distribution companies, telecom operators, utility providers, public sector undertakings, or similar entities without lawful authority; (f) counterfeit, forged, tampered, illegally replicated, or fraudulent goods or materials; (g) hazardous waste, toxic substances, industrial waste, biomedical waste, radioactive materials, electronic waste, chemicals, pollutants, or regulated materials where their sale, transfer, transportation, storage, handling, or disposal is prohibited or restricted by law; (h) materials requiring licenses, permits, approvals, registrations, or governmental authorizations where the user does not possess such approvals; (i) any item the advertisement, sale, purchase, possession, transportation, processing, or disposal of which is prohibited or restricted under applicable law; and (j) any material which, in the sole opinion of the Platform, may expose the Platform, its users, or the public to legal, regulatory, financial, reputational, or safety risks.

6.2 Prohibited Conduct

Users shall not engage in any activity that is unlawful, fraudulent, deceptive, abusive, harmful, unethical, or inconsistent with the intended use of the Platform. Without limitation, users shall not: (a) impersonate, misrepresent, or falsely claim association with any individual, business, governmental authority, organization, or entity; (b) provide false, forged, misleading, incomplete, inaccurate, or deceptive information; (c) falsely represent ownership, possession, authority, title, legality, quantity, quality, weight, specifications, condition, value, or source of any material; (d) create fake accounts, fictitious profiles, or duplicate accounts; (e) engage in fraudulent transactions, scams, deceptive practices, bid manipulation, payment fraud, refund fraud, or any scheme intended to deceive other users; (f) use the Platform to facilitate money laundering, financing of illegal activities, tax evasion, corruption, bribery, organized crime, or any criminal activity; (g) upload, transmit, publish, or distribute content that is false, misleading, defamatory, obscene, threatening, abusive, harassing, discriminatory, hateful, unlawful, or otherwise objectionable; (h) solicit or collect confidential information, personal information, financial information, passwords, or credentials of other users without authorization; (i) interfere with, disrupt, damage, overload, impair, or compromise the security, integrity, functionality, or operation of the Platform; (j) attempt to gain unauthorized access to any account, database, system, network, server, or data associated with the Platform; (k) use the Platform in a manner that violates applicable laws, regulations, court orders, governmental directives, or third-party rights.

6.3 Automated Access and Platform Misuse

Users shall not, directly or indirectly: (a) use bots, crawlers, spiders, scrapers, automated scripts, data-mining tools, artificial intelligence tools, or other automated technologies to access, extract, copy, monitor, index, or collect information from the Platform without prior written authorization; (b) circumvent, disable, bypass, interfere with, or defeat any security measures, access controls, rate limits, technical restrictions, or protective mechanisms implemented by the Platform; (c) reverse engineer, decompile, disassemble, copy, replicate, reproduce, modify, create derivative works from, or otherwise exploit any part of the Platform; (d) use the Platform for unauthorized commercial exploitation, data harvesting, lead generation, competitive intelligence gathering, or similar activities.

6.4 Compliance with Law

Users shall ensure that all activities conducted through the Platform comply with all applicable laws, regulations, licensing requirements, environmental regulations, waste management rules, taxation laws, anti-money laundering laws, and governmental directives. Users shall remain solely responsible for determining the legality of their activities and the materials offered, purchased, sold, or transported through the Platform.

6.5 Right to Remove Content and Restrict Access

The Platform reserves the right, at its sole and absolute discretion, and without prior notice, to: (a) reject, suspend, restrict, edit, remove, disable, or delete any listing, advertisement, content, communication, or account; (b) request additional information, declarations, documents, licenses, permits, invoices, ownership records, or supporting evidence from any user; (c) suspend or terminate user access to the Platform; (d) block specific users, devices, telephone numbers, email addresses, IP addresses, or other identifiers; and (e) take any action reasonably necessary to protect the Platform, its users, or the public. The Platform shall not be liable for any loss, damage, business interruption, or other consequence arising from the exercise of these rights.

6.6 Reporting to Authorities

The Platform reserves the right, but shall not be obligated, to investigate any suspected violation of these Terms. Where the Platform reasonably believes that a user may have engaged in unlawful conduct, fraud, sale of stolen property, regulatory violations, money laundering, or any activity posing a risk to the Platform or third parties, the Platform may, without notice: (a) preserve and retain relevant records and information; (b) cooperate with law enforcement agencies, courts, governmental authorities, and regulatory bodies; (c) disclose user information, account information, transaction records, communications, documents, or other information as permitted or required by law; and (d) report the matter to the appropriate authorities.

6.7

No Liability of the Platform The Platform shall not be liable for any prohibited item, unlawful activity, fraudulent conduct, criminal act, misrepresentation, regulatory violation, or prohibited transaction undertaken by any user. Users acknowledge that they remain solely responsible for their conduct and for ensuring compliance with all applicable laws and these Terms.

6.8 Survival

The obligations, representations, warranties, indemnities, rights, remedies, and enforcement provisions contained in this Clause shall survive the suspension, termination, deactivation, or closure of any account and shall continue to apply to any activity undertaken during the period of use of the Platform.

7.1 Right to Conduct Verification

The Platform may, at its sole and absolute discretion, require any user to undergo identity verification, business verification, account authentication, ownership verification, document verification, or any other verification process deemed appropriate by the Platform. Such verification may be conducted at the time of registration, during the use of the Platform, prior to activation of specific features, upon receipt of complaints, during investigations, or at any other time as determined by the Platform. For the purposes of verification, the Platform may require users to submit documents, declarations, licenses, permits, registrations, tax records, invoices, ownership documents, photographs, bank account information, or any other information reasonably required by the Platform.

7.2 Optional Nature of Verification

Unless expressly stated otherwise by the Platform, verification services are provided solely as an additional platform feature for user convenience. The Platform shall have no obligation to verify every user, listing, transaction, document, or activity conducted through the Platform. The decision whether to verify a user, the extent of any verification, and the manner in which such verification is conducted shall remain solely within the discretion of the Platform.

7.3

No Representation or Warranty Any verification, badge, certification, status indicator, verification mark, approval, or similar designation issued by the Platform shall not constitute and shall not be construed as: (a) a guarantee of identity; (b) a guarantee of ownership or lawful possession of any material; (c) a guarantee of legitimacy, credibility, trustworthiness, reliability, or reputation of any user; (d) a guarantee of financial standing, solvency, or creditworthiness; (e) a guarantee of compliance with applicable laws or regulatory requirements; (f) a guarantee regarding the quality, quantity, condition, legality, authenticity, source, or ownership of any material; (g) a guarantee that a transaction will be completed successfully; or (h) an endorsement, recommendation, certification, warranty, or approval by the Platform. Users acknowledge that verification status is informational only and shall not be relied upon as evidence of legitimacy or legal compliance.

7.4 Limited Scope of Verification

Any verification undertaken by the Platform shall be limited solely to the information and documents made available to the Platform at the relevant time. The Platform does not undertake any obligation to independently investigate, audit, inspect, monitor, continuously verify, or validate: (a) the accuracy or authenticity of documents submitted by users; (b) the ownership or legality of materials offered for sale; (c) the ongoing compliance status of users; (d) the financial condition, business practices, or reputation of users; or (e) any information provided by users to the Platform. The Platform shall not be liable for any inaccuracies, omissions, forged documents, fraudulent representations, or misleading information submitted by users.

7.5 User Responsibility for Due Diligence

Each user acknowledges and agrees that they remain solely responsible for conducting their own independent investigations, inspections, inquiries, verifications, and due diligence before entering into any transaction. Without limitation, users shall independently verify: (a) the identity of the other party; (b) ownership and lawful possession of materials; (c) the legality of the transaction; (d) licenses, permits, registrations, and regulatory compliance; (e) quality, quantity, specifications, and condition of materials; and (f) the creditworthiness, reliability, and business reputation of the other party. No user shall rely solely upon any verification status, badge, profile designation, or information displayed on the Platform.

7.6 Suspension Pending Verification

The Platform reserves the right, at its sole discretion, to suspend, restrict, deactivate, limit, or terminate any account, listing, transaction, communication, or Platform feature pending completion of any verification process or where the Platform is unable to satisfactorily verify information provided by a user. The Platform may also request additional documents, declarations, clarifications, or supporting information at any time. Failure to comply with such requests may result in suspension or termination of access to the Platform.

7.7 False or Misleading Verification Information

Users shall not submit false, forged, altered, misleading, incomplete, fraudulent, or inaccurate information during any verification process. Where the Platform reasonably suspects that any information or document is false, forged, misleading, or fraudulent, the Platform may: (a) reject the verification request; (b) suspend or terminate the user\

7.8

No Liability of the Platform The Platform shall not be liable for any loss, damage, claim, dispute, fraud, misrepresentation, unlawful activity, ownership dispute, financial loss, regulatory action, or other consequence arising from: (a) any verification conducted or not conducted by the Platform; (b) any reliance placed by a user on a verification status or verification badge; (c) inaccurate, incomplete, forged, altered, or misleading documents submitted by users; or (d) the actions, omissions, conduct, or representations of any user. All users acknowledge that any transaction undertaken through the Platform is conducted entirely at their own risk.

7.9 Cooperation with Authorities

The Platform reserves the right to retain verification records and disclose verification-related information, documents, account details, transaction records, and communications to law enforcement agencies, courts, governmental authorities, regulatory bodies, or other competent authorities where required by law, legal process, regulatory obligation, or where reasonably necessary for the investigation of suspected unlawful activity, fraud, stolen property, regulatory violations, or breaches of these Terms.

8.1 Independent Transactions Between Users

The Platform is solely a technology-based intermediary marketplace that facilitates communication and interaction between buyers and sellers. All transactions conducted through the Platform are entered into directly and independently between users. The Platform is not a buyer, seller, agent, broker, distributor, dealer, consignee, bailee, escrow agent, payment intermediary, financier, insurer, guarantor, or party to any transaction conducted between users. The Platform does not participate in, supervise, control, monitor, or assume responsibility for any negotiation, agreement, transaction, payment, delivery, transportation arrangement, inspection, acceptance, or commercial dealing between users.

8.2

No Processing or Handling of Payments Unless expressly stated otherwise in writing by the Platform, the Platform does not process, receive, hold, collect, transfer, remit, secure, safeguard, escrow, or guarantee any payments made in connection with transactions between users. All payments shall be made directly between the buyer and seller through payment methods independently selected by the parties. The Platform shall not act as a custodian, trustee, stakeholder, escrow holder, payment facilitator, payment aggregator, or intermediary in respect of any funds exchanged between users.

8.3 User Responsibility for Transaction Terms

Users shall be solely responsible for negotiating, determining, agreeing upon, documenting, and performing all terms and conditions of their transactions. Without limitation, users shall be solely responsible for determining: (a) purchase price and payment terms; (b) quantity, weight, grade, quality, and specifications of materials; (c) inspection procedures and acceptance criteria; (d) delivery schedules and timelines; (e) transportation, loading, unloading, and logistics arrangements; (f) risk allocation and transfer of ownership; (g) taxes, duties, levies, fees, and statutory charges; (h) warranties, representations, indemnities, and contractual obligations; and (i) all other commercial, operational, and legal aspects of the transaction. The Platform shall not be responsible for negotiating, enforcing, interpreting, monitoring, or performing any transaction terms agreed between users.

8.4

Payment Risk Assumed by Users Users acknowledge and agree that all payment-related risks associated with transactions conducted through the Platform shall be borne exclusively by the respective buyer and seller. Users shall independently assess the credibility, reliability, financial standing, and payment capacity of the other party before entering into any transaction. The Platform shall not be responsible for verifying the financial capability, solvency, creditworthiness, banking arrangements, or payment intentions of any user.

8.5

No Guarantee of Transactions The Platform makes no representation, warranty, undertaking, or guarantee that: (a) any buyer will make payment; (b) any seller will deliver the material; (c) any transaction will be completed successfully; (d) any payment will be valid, authorized, or recoverable; (e) any user will perform its contractual obligations; or (f) any dispute between users will be resolved favorably. All transactions are undertaken entirely at the users\

8.6 Exclusion of Liability for Payment and Transaction Disputes

To the fullest extent permitted by applicable law, the Platform shall not be liable for any loss, damage, claim, expense, liability, penalty, cost, or dispute arising from or relating to: (a) non-payment or partial payment; (b) delayed payment; (c) fraudulent payment instructions; (d) unauthorized payments; (e) forged payment confirmations; (f) bounced cheques or dishonoured payment instruments; (g) chargebacks, payment reversals, or disputed transactions; (h) banking errors or payment gateway issues not controlled by the Platform; (i) advance payment frauds; (j) refund disputes; (k) overpayments or underpayments; (l) disputes regarding quantity, weight, quality, specifications, grade, or condition of materials; (m) disputes regarding transportation, loading, unloading, storage, or delivery; (n) delayed delivery or non-delivery of materials; (o) ownership disputes; (p) regulatory violations; or (q) any breach of contract between users.

8.7

No Obligation to Resolve Disputes The Platform shall have no obligation to mediate, arbitrate, investigate, adjudicate, enforce, or resolve any dispute arising between users. Any dispute relating to payments, transactions, ownership, delivery, quality, quantity, specifications, legality, or contractual obligations shall be resolved solely between the parties involved. The Platform may, at its sole discretion, provide assistance or request information from users, but such assistance shall not create any obligation, liability, or responsibility on the part of the Platform.

8.8 User Due Diligence

Prior to making any payment or transferring any material, users shall independently verify: (a) the identity and authority of the other party; (b) ownership and legality of the material; (c) payment details and banking information; (d) quantity, weight, specifications, and condition of the material; (e) applicable taxes, licenses, permits, and regulatory requirements; and (f) any other information necessary to evaluate the proposed transaction. The Platform shall not be responsible for any loss arising from a user\

8.9

No Liability for Third-Party Payment Services Where users elect to utilize any third-party banking service, payment gateway, digital wallet, financial institution, payment processor, or other payment mechanism, such services shall be governed exclusively by the terms and conditions of the relevant third party. The Platform shall not be liable for any act, omission, failure, interruption, delay, security breach, fraud, error, or loss arising from the use of any third-party payment service.

8.10 Indemnity Relating to Transactions and Payments

Users agree to defend, indemnify, and hold harmless the Platform, its owners, directors, officers, employees, affiliates, agents, service providers, successors, and assigns from and against any claims, demands, proceedings, liabilities, losses, damages, costs, penalties, expenses, or legal fees arising out of or relating to: (a) transactions conducted through the Platform; (b) payment disputes between users; (c) breach of contractual obligations by any user; (d) fraud, misrepresentation, or unlawful conduct by any user; or (e) disputes concerning delivery, ownership, quality, quantity, specifications, or payment.

8.11 Survival

The rights, disclaimers, limitations of liability, indemnities, and obligations contained in this Clause shall survive the completion, cancellation, suspension, termination, or failure of any transaction and the suspension or termination of any user account.

9.1 Paid Services

The Platform may, at its sole discretion, offer certain services, features, tools, benefits, listings, promotional opportunities, membership plans, subscription packages, premium services, advertising services, lead-generation features, or other paid services ("Paid Services") in exchange for the payment of applicable fees. Such fees may include, without limitation: (a) joining fees; (b) registration fees; (c) subscription fees; (d) membership fees; (e) listing fees; (f) promotional fees; (g) advertising fees; (h) premium account fees; and (i) any other charges notified by the Platform from time to time. The availability, scope, pricing, duration, and conditions of Paid Services may be modified, suspended, discontinued, or replaced by the Platform at any time.

9.2

Access to Platform Features Only Payment of any fee to the Platform grants the user only a limited, revocable, non-exclusive right to access and use the specific Platform features associated with the selected Paid Service during the applicable subscription period. Users expressly acknowledge and agree that subscription fees and other charges are paid solely for access to Platform functionality, visibility, technological infrastructure, and related services offered by the Platform. Payment of any fee shall not be construed as payment for any specific commercial result, transaction outcome, business opportunity, or financial benefit.

9.3

No Guarantee of Results The Platform does not guarantee and shall not be deemed to promise, warrant, or represent that payment of any subscription fee or use of any Paid Service will result in: (a) successful transactions; (b) completed sales or purchases; (c) buyer inquiries; (d) seller inquiries; (e) qualified leads; (f) business opportunities; (g) customer acquisition; (h) increased revenue, profits, or business growth; (i) increased visibility beyond the functionality expressly provided; (j) a minimum number of inquiries, contacts, views, responses, or transactions; (k) the availability of buyers or sellers in any geographic area; or (l) any particular commercial outcome whatsoever. The number, quality, frequency, and value of inquiries, leads, communications, negotiations, and transactions may vary and depend on factors beyond the control of the Platform.

9.4 User Acknowledgment Regarding Commercial Outcomes

Users acknowledge and agree that the Platform functions solely as a technology-based intermediary marketplace and that the success of any transaction depends upon numerous factors including, without limitation: (a) market demand; (b) pricing; (c) quality and quantity of materials; (d) geographical location; (e) user reputation; (f) industry conditions; (g) negotiation between users; and (h) other factors beyond the Platform\

9.5 Fees and Payment Terms

All fees payable to the Platform shall be paid in accordance with the pricing, payment schedules, and payment methods specified by the Platform from time to time. Users agree to pay all applicable taxes, duties, levies, charges, and governmental assessments associated with the Paid Services unless expressly stated otherwise. The Platform reserves the right to modify its pricing structure, introduce new charges, discontinue existing plans, or revise subscription terms at any time. Any revised pricing shall apply prospectively and shall not affect subscription periods already paid for unless otherwise permitted by applicable law.

9.6 Non-Refundable Fees

Except as expressly required by applicable law or expressly agreed by the Platform in writing, all fees, charges, subscriptions, memberships, listing fees, promotional fees, and payments made to the Platform shall be final, non-cancellable, and non-refundable. No refund, credit, adjustment, or compensation shall be payable on account of: (a) non-use of the Platform; (b) dissatisfaction with results; (c) lack of inquiries or responses; (d) failure to conclude transactions; (e) business losses; (f) suspension of an account resulting from the user\

9.10

No Investment or Partnership Relationship Payment of subscription fees or purchase of any Paid Service shall not create any partnership, joint venture, agency relationship, employment relationship, franchise arrangement, investment relationship, fiduciary duty, or ownership interest between the user and the Platform. Users acknowledge that they are purchasing access to a service and not investing in, partnering with, or acquiring any ownership rights in the Platform.

9.11 Right to Modify or Discontinue Paid Services

The Platform reserves the right, at any time and in its sole discretion, to introduce, modify, suspend, discontinue, replace, or withdraw any Paid Service, feature, subscription plan, membership category, pricing structure, or promotional offering. The Platform shall not be liable for any loss of business, profits, opportunities, goodwill, or expected benefits arising from such modification or discontinuance.

9.12 Survival

The provisions relating to fees, payment obligations, disclaimers, limitations of liability, and non-refundability shall survive the expiration, cancellation, suspension, or termination of any subscription, membership, account, or Paid Service.

10.2

11.2 General Exclusion of Liability

To the fullest extent permitted by applicable law, the Platform, its owners, directors, officers, employees, affiliates, agents, service providers, licensors, successors, and assigns shall not be liable for any loss, damage, liability, claim, demand, action, proceeding, cost, expense, penalty, or injury arising directly or indirectly out of or in connection with: (a) the use of or inability to use the Platform; (b) any transaction conducted through the Platform; (c) any communication between users; (d) any listing, advertisement, content, representation, or information published on the Platform; (e) the conduct, acts, omissions, negligence, fraud, or misconduct of any user or third party; (f) the purchase, sale, transportation, possession, storage, handling, processing, recycling, or disposal of any material; (g) any breach of contract or obligation between users; or (h) any matter relating to goods, services, materials, or transactions facilitated through the Platform.

11.3 Exclusion of Specific Categories of Damages

To the fullest extent permitted by law, the Platform shall not be liable for any: (a) direct damages; (b) indirect damages; (c) incidental damages; (d) special damages; (e) exemplary damages; (f) punitive damages; (g) consequential damages; (h) economic losses; (i) loss of profits; (j) loss of revenue; (k) loss of business opportunities; (l) loss of anticipated savings; (m) loss of goodwill; (n) reputational harm; (o) business interruption losses; (p) loss of contracts; (q) loss of data; (r) loss of use; (s) regulatory penalties; (t) environmental liabilities; or (u) any other commercial or financial loss, whether arising in contract, tort (including negligence), strict liability, statutory liability, indemnity, restitution, equity, or otherwise, even if the Platform has been advised of the possibility of such damages.

11.4

No Liability for User Conduct or Transactions Without limiting any other provision of these Terms, the Platform shall not be liable for: (a) fraudulent users or fraudulent transactions; (b) non-payment, delayed payment, or payment disputes; (c) delivery failures or transportation issues; (d) ownership disputes; (e) stolen, illegal, counterfeit, restricted, hazardous, defective, or prohibited materials; (f) inaccurate listings or misrepresentations made by users; (g) breaches of law by users; (h) tax disputes or regulatory violations; (i) environmental violations; (j) criminal investigations involving users or materials; or (k) disputes arising between buyers and sellers. All such matters shall remain solely the responsibility of the users involved.

11.5

No Liability for Platform Interruptions The Platform does not warrant that its services will be uninterrupted, secure, error-free, available at all times, or free from defects. The Platform shall not be liable for any loss, damage, or liability arising from: (a) temporary service interruptions; (b) scheduled or unscheduled maintenance; (c) software errors or bugs; (d) hardware failures; (e) internet outages; (f) telecommunications failures; (g) cyberattacks; (h) unauthorized access; (i) viruses, malware, ransomware, or other malicious code; (j) acts of third-party service providers; or (k) events beyond the reasonable control of the Platform.

11.6

No Liability for Third-Party Services The Platform shall not be liable for the acts, omissions, services, products, content, conduct, policies, or failures of any third party, including but not limited to: (a) payment service providers; (b) banks and financial institutions; (c) logistics providers; (d) transporters and carriers; (e) verification service providers; (f) telecommunications providers; (g) internet service providers; or (h) governmental or regulatory authorities. Any dealings with such third parties shall be solely between the user and the relevant third party.

11.7 Limitation of Monetary Liability

Notwithstanding anything contained in these Terms or under applicable law, and to the fullest extent permitted by law, the aggregate and cumulative liability of the Platform, whether arising in contract, tort, negligence, strict liability, statutory liability, or otherwise, for all claims arising out of or relating to the Platform, shall not exceed the total amount actually paid by the user to the Platform during the twelve (12) months immediately preceding the event giving rise to the claim. 11.8 Exclusive Remedy

The limitation of liability contained in this Clause constitutes an essential basis of the bargain between the Platform and the user. Users acknowledge that the fees charged by the Platform reflect the allocation of risk contained in these Terms and that, absent such limitations, the Platform would not be able to provide its services on the same commercial basis.

11.9 Force Majeure

The Platform shall not be liable for any delay, interruption, failure, or inability to perform its obligations resulting from events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labour disputes, governmental actions, regulatory restrictions, power failures, telecommunications failures, internet disruptions, cyber incidents, or similar events.

11.10 Survival

The limitations, exclusions, waivers, disclaimers, and restrictions contained in this Clause shall survive the suspension, termination, cancellation, expiration, or closure of any account, subscription, transaction, or relationship between the user and the Platform.

13.1 User Obligation to Report Illegal Activity

Users shall promptly notify the Platform upon becoming aware of, suspecting, or having reasonable grounds to believe that any listing, transaction, material, communication, account, or activity on or through the Platform involves: (a) stolen property or suspected stolen property; (b) illegally obtained goods or materials; (c) government property, railway property, utility property, or public property being offered without lawful authorization; (d) counterfeit, forged, fraudulent, or misrepresented materials; (e) fraud, cheating, impersonation, or deceptive practices; (f) money laundering or other financial crimes; (g) hazardous, prohibited, restricted, or regulated materials being dealt with in violation of applicable law; (h) environmental violations or unlawful disposal of waste; (i) unauthorized use of another person\

12.1 Privacy Policy

The collection, use, storage, processing, disclosure, transfer, retention, and protection of personal information and other data provided by users shall be governed by the Platform\

12.2 User Consent

By creating an account, submitting information, uploading content, or otherwise using the Platform, users expressly consent to the collection, processing, storage, use, disclosure, sharing, transfer, and retention of their personal information and business information in accordance with these Terms, the Privacy Policy, and applicable law. Such consent shall include, without limitation, the processing of information for: (a) account creation and management; (b) user authentication and verification; (c) identity verification and KYC procedures; (d) fraud prevention and risk management; (e) facilitating user interactions and transactions; (f) customer support and dispute management; (g) regulatory compliance and legal obligations; (h) service improvement and analytics; and (i) any other legitimate business purpose described in the Privacy Policy.

12.3 Information Collected

The Platform may collect and process information including, without limitation: (a) name, address, telephone number, email address, and other contact information; (b) government-issued identification details; (c) GST registration details, PAN information, business registration details, licenses, permits, and other business-related information; (d) account credentials and authentication information; (e) transaction-related information; (f) communications conducted through the Platform; (g) device information, IP addresses, browser information, and technical data; (h) location information where permitted by law; and (i) any other information voluntarily provided by users.

12.4 Disclosure of Information

The Platform may disclose, share, transfer, or provide access to user information where: (a) required by applicable law; (b) required pursuant to a court order, warrant, subpoena, summons, notice, or other legal process; (c) requested by governmental authorities, regulatory bodies, law enforcement agencies, tax authorities, environmental authorities, or other competent authorities; (d) necessary to investigate suspected fraud, criminal activity, stolen property, ownership disputes, regulatory violations, or breaches of these Terms; (e) necessary to protect the rights, property, safety, reputation, or legitimate interests of the Platform, its users, or third parties; (f) required in connection with business restructuring, merger, acquisition, investment, financing, or sale of assets; or (g) otherwise permitted under applicable law and the Privacy Policy.

12.5 User Responsibility for Shared Information

Users acknowledge and agree that information voluntarily shared with other users through listings, communications, inquiries, negotiations, transactions, or other interactions may be accessed, used, or relied upon by such users. The Platform shall not be responsible for the actions of other users with respect to information voluntarily disclosed by a user. Users are solely responsible for exercising caution when sharing personal, business, financial, or confidential information with other users.

12.6 Data Security

The Platform shall use commercially reasonable measures to protect user information against unauthorized access, disclosure, alteration, loss, misuse, or destruction. However, no method of transmission over the internet, electronic storage system, or security mechanism can be guaranteed to be completely secure. Accordingly, the Platform does not warrant or guarantee the absolute security, integrity, confidentiality, or availability of any information transmitted to, through, or stored on the Platform.

12.7

No Liability for Unauthorized Access To the fullest extent permitted by applicable law, the Platform shall not be liable for any loss, damage, claim, liability, cost, or expense arising from: (a) unauthorized access to user accounts or information; (b) cyberattacks, hacking incidents, malware, ransomware, viruses, or other malicious activities; (c) interception of communications; (d) data breaches caused by third parties; (e) user negligence in protecting account credentials; or (f) circumstances beyond the reasonable control of the Platform.

12.8 Retention of Information

The Platform may retain user information, account records, transaction records, communications, verification documents, and other data for such period as it deems reasonably necessary for business, legal, regulatory, compliance, dispute resolution, security, fraud prevention, audit, or record-keeping purposes. Such information may be retained even after account suspension, termination, or closure, to the extent permitted or required by applicable law.

12.9 Cross-Border Storage and Processing

Users acknowledge and agree that information may be processed, stored, backed up, or transferred through systems, servers, service providers, or infrastructure located in different jurisdictions, subject to applicable legal requirements and the Privacy Policy.

12.10 Privacy Policy Updates

The Platform reserves the right to amend, update, modify, or replace the Privacy Policy from time to time. Continued access to or use of the Platform following any such update shall constitute acceptance of the revised Privacy Policy, unless otherwise required by applicable law.

12.11 Survival

The rights, authorizations, consents, disclosures, limitations, and obligations contained in this Clause shall survive the suspension, termination, deactivation, or closure of any user account to the extent necessary to fulfill legal, regulatory, security, compliance, and record-retention requirements.

13.2 Reporting Does Not Create Liability

The submission of a report to the Platform shall not create any obligation on the Platform to investigate, verify, adjudicate, mediate, resolve, or take action in relation to the reported matter. The Platform may, but shall not be obligated to, review, investigate, monitor, or take action regarding any complaint, report, allegation, or suspected violation. The Platform shall not be liable for any failure, delay, or decision relating to the handling of any report.

13.3 Investigation Rights of the Platform

The Platform reserves the right, at its sole and absolute discretion, to investigate any suspected violation of these Terms, suspicious activity, fraudulent conduct, unlawful transaction, or complaint received from any source. For the purposes of any investigation, the Platform may: (a) request additional information, documents, declarations, licenses, permits, invoices, ownership records, or supporting evidence; (b) review user accounts, listings, communications, and transaction-related information; (c) contact users for clarification or verification; (d) preserve records and information relevant to the investigation; and (e) take any action deemed reasonably necessary to protect the Platform, its users, or the public.

13.4 Suspension of Listings and Accounts

Where the Platform reasonably suspects that a user, listing, material, transaction, or activity may be unlawful, fraudulent, misleading, unsafe, prohibited, or in violation of these Terms, the Platform may, without prior notice and at its sole discretion: (a) suspend, remove, restrict, disable, or delete any listing; (b) suspend, restrict, deactivate, or terminate any user account; (c) prevent access to specific Platform features; (d) block communications between users; (e) withhold verification status or verification privileges; and (f) take any other precautionary action deemed necessary. Such actions may be taken pending investigation and shall not require the Platform to establish actual wrongdoing before acting.

13.5 Cooperation with Law Enforcement and Authorities

The Platform reserves the right to cooperate fully with law enforcement agencies, courts, governmental authorities, regulatory bodies, municipal authorities, environmental authorities, tax authorities, and other competent authorities in connection with any investigation, inquiry, complaint, legal proceeding, regulatory action, or enforcement activity. The Platform may provide assistance, information, records, documents, communications, account details, verification information, transaction records, IP addresses, device information, and any other information lawfully requested or required.

13.6 Disclosure of Information

Users acknowledge and agree that the Platform may disclose user information without prior notice where: (a) required by applicable law; (b) required pursuant to a court order, warrant, summons, subpoena, notice, or other legal process; (c) required by a governmental, regulatory, investigative, or law enforcement authority; (d) reasonably necessary to investigate suspected fraud, criminal activity, regulatory violations, or breaches of these Terms; (e) necessary to protect the rights, property, safety, reputation, or interests of the Platform, its users, or third parties; or (f) necessary to prevent, detect, investigate, or prosecute unlawful conduct. Users expressly consent to such disclosures to the extent permitted by applicable law.

13.7 Preservation of Records

The Platform reserves the right to preserve, archive, retain, and maintain records relating to user accounts, listings, communications, transactions, verification documents, payment-related information, and other data for such period as the Platform deems appropriate or as may be required by applicable law. Such records may be retained notwithstanding the suspension, deactivation, termination, or closure of a user account.

13.8

No Liability for Enforcement Actions The Platform shall not be liable for any loss, damage, business interruption, reputational harm, financial loss, missed opportunity, or other consequence arising from: (a) the investigation of a user or listing; (b) suspension or removal of listings; (c) suspension, restriction, or termination of accounts; (d) disclosure of information pursuant to this Clause; (e) cooperation with law enforcement or regulatory authorities; or (f) any action taken by the Platform in good faith to prevent, detect, investigate, report, or address suspected unlawful activity.

13.9 Good Faith Protection

Any action taken by the Platform under this Clause in good faith, including the reporting of suspected unlawful activity or cooperation with authorities, shall not be construed as an admission of liability, wrongdoing, negligence, or responsibility on the part of the Platform. The Platform shall be entitled to rely upon information, complaints, reports, documents, communications, and other materials received from users, authorities, or third parties when exercising its rights under this Clause.

13.10 User Cooperation

Users shall fully cooperate with the Platform and with competent authorities in connection with any investigation relating to: (a) stolen property; (b) illegal materials; (c) ownership disputes; (d) fraud or misrepresentation; (e) environmental violations; (f) regulatory non-compliance; or (g) any breach of these Terms. Failure to cooperate may result in suspension or termination of the user\

13.11 Survival

The rights, powers, authorizations, disclosures, obligations, and protections contained in this Clause shall survive the suspension, termination, deactivation, cancellation, or closure of any user account and shall continue to apply for so long as reasonably necessary to investigate, defend, or respond to any matter arising from the user\

14.1 Right to Suspend, Restrict, or Terminate

The Platform reserves the right, at its sole and absolute discretion and without incurring any liability, to suspend, restrict, deactivate, disable, terminate, or permanently ban any user account, listing, communication, transaction, verification status, subscription, or access to the Platform, with or without prior notice, where the Platform reasonably believes that such action is necessary to protect the Platform, its users, third parties, or the public interest. The exercise of such rights shall not require the Platform to establish actual wrongdoing, criminal conduct, or breach of these Terms before taking action.

14.2 Grounds for Suspension or Termination

Without limiting the generality of the foregoing, the Platform may suspend, restrict, or terminate a user\

14.3 Immediate Suspension Without Notice

The Platform may, where it considers appropriate, immediately suspend or restrict access to any account, listing, communication, or Platform feature without prior notice. Such action may be taken on a temporary, precautionary, or permanent basis pending investigation or verification. The Platform shall not be required to provide advance warning, explanation, evidence, or an opportunity to be heard before taking such action.

14.4 Removal of Listings and Content

Upon suspension, restriction, or termination of an account, the Platform may remove, disable, hide, edit, restrict, or delete any listing, advertisement, content, communication, document, photograph, or information associated with the user. The Platform shall have no obligation to restore or retain such content unless required by applicable law.

14.5 Preservation of Records

Notwithstanding the suspension, restriction, or termination of an account, the Platform may preserve, archive, retain, review, and disclose account information, communications, transaction records, verification documents, and related data for such period as it deems appropriate or as required by law.

14.6 Cooperation with Authorities

Where an account is suspended or terminated due to suspected unlawful activity, fraud, stolen property, regulatory violations, criminal conduct, or other serious concerns, the Platform may cooperate with law enforcement agencies, courts, regulatory authorities, governmental bodies, and other competent authorities. The Platform may disclose relevant information, records, documents, communications, account details, and transaction information as permitted or required by law.

14.7

No Right to Continued Access Users acknowledge and agree that access to the Platform constitutes a revocable privilege and not a vested right. The Platform shall have no obligation to continue providing access to any user and may suspend, restrict, or terminate access in accordance with these Terms.

14.8

No Refund or Compensation Where an account is suspended, restricted, or terminated, whether temporarily or permanently, the user shall not be entitled to any refund, reimbursement, compensation, damages, credit, extension of subscription period, or other monetary relief, except where expressly required by applicable law. This provision shall apply irrespective of whether the user has paid subscription fees, membership fees, listing fees, promotional fees, or any other charges.

14.9 Prohibition on Re-Registration

Where an account has been suspended or terminated, the user shall not create, register, operate, or access another account, whether directly or indirectly, without the prior written consent of the Platform. The Platform reserves the right to block, restrict, or remove any new or associated accounts created by such user.

14.10 Survival of Obligations

Suspension, restriction, or termination of an account shall not affect any rights, remedies, obligations, liabilities, warranties, representations, indemnities, or provisions that by their nature are intended to survive termination. The Platform\

No Liability for Suspension or Termination To the fullest extent permitted by applicable law, the Platform shall not be liable for any loss, damage, business interruption, loss of profits, loss of opportunity, reputational harm, loss of data, or other consequence arising from the suspension, restriction, deactivation, termination, or removal of any account, listing, content, communication, or Platform access. Users expressly waive any claim against the Platform arising from the lawful exercise of its rights under this Clause.

15. INTELLECTUAL PROPERTY

All trademarks, logos, software, designs, text, and content belonging to the Platform remain its exclusive property. Users shall not copy, reproduce, distribute, reverse engineer, or exploit any part of the Platform without written permission.

17.1

The Platform is not obligated to resolve disputes between buyers and sellers.

17.2

Users agree that any dispute relating to a transaction shall be resolved directly between the parties involved.

17.3

The Platform may assist voluntarily but has no obligation to investigate or adjudicate disputes.

17. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located at New Delhi, India.

18. MODIFICATIONS

The Platform may modify these Terms at any time. Continued use of the Platform after modification constitutes acceptance of the revised Terms.
